Note: While this solution may help you, I want to suggest that never upgrade WordPress to the latest version when you a message in WordPress Dashboard. Just behave like as you have not seen that message. And, after sometime, your WordPress website or blog will be automatically upgraded to the latest version. This way the chances of facing problems will be lesser than when you upgrade yourself.
The Solution Number One – Disable Plugins One by One. In Maximum Cases it will fix the problem of Visual editor
There are 99% chances that the problem is due to a faulty plugin, which is not support the upgraded version of WordPress. Therefore, to fix visual editor problem after WordPress upgrade, login to your WordPress and start disabling Plugins One by One.
After you have disabled a plugin, go to Post > Add New and see if Visual editor is back to its original state. If the editor is still a problem, go to the Plugins > Installed Plugins page and disable another plugin. Now, again go to Post > Add New and see if Visual editor is back to its original state. Repeat this process until you either see Visual Editor back in normal state or all plugins are disabled.

And, login to FTP and replace the existing TinyMCE folder on the server with this latest one. TinyMCE path on the server is same as in the downloaded WordPress installation zip file.
